1. General Provisions

1.1 These General Terms and Conditions apply to contracts between the Client and the Contractor, incorporating these provisions.
1.2 In the event of a conflict, more specific contractual documents shall take precedence.
1.3 Deviating terms and conditions of the Client shall only apply with the express consent of the Contractor.

2. Subject Matter of the Contract and Scope of Services

2.1 The Contractor provides the services as an independent business entity.

2.2 The scope of services shall be agreed individually.
2.3 The services shall be performed diligently, conscientiously, and in accordance with the current state of the art.
2.4 The Contractor acts on his own responsibility and is not bound by instructions; however, he shall coordinate with the Client.

3. Duties of Cooperation of the Client

The Client is responsible for the timely and complete provision of the necessary information. Delays resulting from late cooperation shall not be borne by the Contractor.

4. Remuneration

4.1 The remuneration shall be agreed individually.
4.2 Payment shall be made after performance or, in the case of periodic billing, in accordance with Section 614 of the German Civil Code (BGB).
4.3 Invoices shall be issued by post or by e-mail. The payment term is 14 days.

5. Liability / Indemnification

5.1 Liability shall be unlimited in cases of intent, gross negligence, or injury to life, body, or health.
5.2 The Client shall indemnify the Contractor against any third-party claims arising from the Client’s breach of contract.

6. Term and Termination

6.1 The term of the contract and the notice periods shall be agreed individually.
6.2 Termination without notice for good cause remains possible.
6.3 Upon termination of the contract, documents shall be returned or destroyed, and electronic data shall be deleted (except where statutory retention obligations apply).

7. Confidentiality and Data Protection

7.1 All information obtained in the course of the assignment shall be treated as confidential – even beyond the termination of the contract.
7.2 The Contractor undertakes to comply with the GDPR and the BDSG.

8. Final Provisions

8.1 The laws of Germany shall apply, excluding the CISG.
8.2 The partial invalidity of any provision shall not affect the validity of the remaining provisions.
8.3 The Client shall actively support the Contractor through cooperation.
8.4 The place of jurisdiction shall be Bonn, where legally permissible.
8.5 Amendments to these General Terms and Conditions shall be valid if announced in advance and not objected to by the Client. Clients will be informed in due time by e-mail.

9. Online Dispute Resolution / Consumer Mediation

Consumers have the right to withdraw from contracts within 14 days without giving any reason.The withdrawal period begins upon conclusion of the contract.

The withdrawal may be made by letter or by e-mail. A model withdrawal form is available (see below), but its use is not mandatory.

To meet the deadline, it is sufficient to send the withdrawal declaration in time.

Consequences of Withdrawal

In the event of withdrawal, we will refund all payments received, including delivery costs, within 14 days. The refund will be made using the same means of payment as used in the original transaction.
If you request that the service begin for the services already provided in the event of withdrawal.
